TERMS AND CONDITIONS FOR EVENT PARTICIPANTS 

OF ZENLOOP GMBH

These Terms and Conditions of Participation (the “Terms”) apply to your participation in events organised by zenloop GmbH (“zenloop”, “we”), including your application and registration therefor, as further described below.

1. CONTRACTUAL TERMS AND CONTRACTUAL PARTNERS 

a) zenloop, located at Erich-Weinert-Straße 145, 10409 Berlin, Germany, is the leading integrated experience management platform in Germany. zenloop offers CX management conferences, workshops, webinars & similar event formats (“Events”) to individuals and companies from various industries.

b) The Events are offered and described in more detail at https://www.zenloop.com/de/events (“Website”). zenloop is the main organiser of the events and your contractual partner for your participation.

2. EVENTS

a) The events take place either online (“Online Events”) or in presence (“Onsite Events”), as described in the respective offer on the website. The events are organised in cooperation with various partners and are held with external speakers.

b) Online events are free of charge for the participants. For onsite events a fee may be charged as described in the respective offer.

c) zenloop is entitled to video record an event or parts thereof. It may happen that participants are recorded in picture and/or sound. However, only remote or group recordings will be made and no close-up recordings of participants will be made in order to protect your privacy.

3. REGISTRATION AND PARTICIPATION

Interested parties can register for an event via the website. Prior registration on the website is required to register to the event. The contract for your participation in an Event is concluded when you have accepted these Terms and Conditions and declared your participation by clicking the correspondingly described button (e.g. “Join Event”)

4. SCOPE OF SERVICES; CHANGES; EXCLUSION

a)The type, content and scope of an event are determined by the respective description on the website.

b) As a participant, you will generally be sent documents relating to the events (“event materials”) to the email address you have provided after the event has been completed. However, this does not constitute a claim to receive Event Materials. Subject to clause 5 b. of these terms and conditions, only you are entitled to use the Event Materials for your own purposes.

c) zenloop reserves the right to change an Event in whole or in part for good cause, provided that the changes are reasonable for you. Changes are considered reasonable if, despite the changes, the event will be held in a comparable manner in terms of content and time. For example, zenloop may replace scheduled speakers with equivalent speakers due to illness and/or slightly adjust the time frame of the event.

d) zenloop reserves the right to deny a participant access to the event if there is objective evidence that

i) the technologies used by the participant impair the functionality or security of the online event,

ii) the participant violates his or her obligation in section 5 of these terms and conditions, or

iii) if there are other circumstances which would entitle zenloop to terminate the contract for cause.

5. RIGHTS OF USE AND PROTECTION

a) Upon completion of your registration, zenloop grants you a non-exclusive, non-transferable right, solely related to the event booked, to participate in the event and to use the event and the event materials solely for the purpose of the contract and subject to these terms and conditions.

b) Any further use or exploitation of the event and the event materials is prohibited. In particular, you may not digitally capture, record, modify, perform, publish, reproduce or otherwise distribute or exploit any event or event materials in whole or in part without the written consent of zenloop. The statutory regulations on permissible use (e.g. reproduction for private and other own use within the meaning of the Copyright Act) shall remain unaffected.

c) Only you as the registered person are entitled to participate in the booked event. In particular, you are prohibited from allowing or permitting another person to participate in the event in your place, unless zenloop has given written permission to the contrary.

d)By participating in an event, you expressly acknowledge that the events and event materials may contain information, text, software, images, video, graphics, sound and/or other content that may be protected by copyright, ancillary copyright or trademark laws. These rights are exclusively owned by zenloop and its licensors. You do not obtain any ownership or exploitation rights to the content provided. Unless otherwise expressly agreed or provided by law, the protected content may only be used in accordance with these terms and conditions.

6. FEES

The amount, payment options and due date of any fee payable for participation in Events are set out in the relevant offer on the Website.

7. FORCE MAJEURE

a) To the extent and for so long as a Force Majeure Event exists, the Parties shall be released from their obligations to perform under these Conditions for the duration of the Force Majeure Event and to the extent of its effect.

b)The Contracting Parties shall be permanently released from their performance obligations under these Terms and Conditions if the Force Majeure event lasts for more than 6 months.

c) Force Majeure is an external event caused by elementary forces of nature or other extraordinary environmental events or by the actions of third parties, which is unforeseeable according to human insight and experience, cannot be prevented or rendered harmless by economically reasonable means, even by the utmost care of the contracting parties that can reasonably be expected in the circumstances, and cannot be accepted because of its frequency.

d) The contracting parties are obliged to notify each other of such a force majeure event and to adjust their obligations to the changed circumstances in good faith.

8. PRIVACY

As part of your registration for an Event, we will request personal data from you that is necessary for your participation. Depending on the event, this data may include your name, email address, job title, company and payment details. If necessary, we forward this data to the respective partner of the event, insofar as this is required for your participation, as well as for follow-up purposes exclusively in relation to the specific event in which you participated.

9. FINAL PROVISIONS

If any provision of these terms and conditions is found to be invalid, void or unenforceable, the validity, validity and enforceability of the remaining provisions shall not be affected. These terms and conditions are governed by the laws of the Federal Republic of Germany.
